Terms of Service

Last updated: June 4, 2026

1Acceptance of Terms

By creating an account, accessing, or using the communication platform (the “Service”), you (“Customer,” “you,” “your”) agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.

If you do not agree to these Terms, you may not use the Service.

2Description of Service

The communication platform is a lead-generation CRM (customer relationship management) platform built for capturing, managing, and converting leads into deals. To support that core purpose, it layers in CPaaS (Communications Platform as a Service) capabilities, allowing customers to reach and follow up with their leads and contacts by sending and receiving messages across supported channels, directly from within the CRM.

Channels currently supported include: WhatsApp, RCS, SMS, Email, Messenger, WhatsApp Business Calling, and Cloud Telephony (voice). Available channels may be added, changed, or removed over time; not all channels may be available to every workspace.

The Service is organized into “workspaces,” isolated environments for a given company or team, with their own users, data, leads, and configuration.

3Account Registration & Eligibility

3.1
To use the Service, a workspace must be created, either by our internal team on your behalf, or through a self-service flow if and when one becomes available.
3.2
You must provide accurate registration information (company name, admin contact details) and keep it up to date.
3.3
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use.
3.4
Workspace administrators (“Super Admins,” “Admins,” “Managers,” depending on assigned role) are responsible for managing access permissions for other users within their own workspace.
3.5
You must be of legal age to form a binding contract in your jurisdiction to use the Service.

4Customer Data & Your End-Users' Data

This section distinguishes two categories of data, consistent with how CPaaS platforms operate:

4.1
Your Data as Our Customer. This includes your workspace’s account information, team member details, configuration, and usage data. We process this data to provide, maintain, and improve the Service for you, as described further in our Privacy Policy.
4.2
Your End-Users’ Data. When you use the communication platform to communicate with your own customers or leads (“End-Users”) via supported channels, you may transmit personal information about those End-Users through the Service (for example, names, phone numbers, or message content). You are solely responsible for:
•
having a lawful basis to collect, process, and transmit that End-User data;
•
obtaining any necessary consents from your End-Users before messaging them through the Service;
•
complying with all applicable laws (including anti-spam, telecom, and data protection laws) governing your use of messaging channels.

We act as a processor of this End-User data on your instructions, in order to deliver the Service. We do not use End-User data transmitted through your workspace for our own independent purposes.

5Acceptable Use Policy

You agree not to use the Service to:

•
send unsolicited, spam, or bulk messages in violation of applicable law or the acceptable-use policies of the channel providers (e.g., WhatsApp, telecom carriers);
•
send content that is illegal, fraudulent, deceptive, defamatory, or that infringes any third party’s rights;
•
impersonate any person or entity, or misrepresent your affiliation with any person or entity;
•
attempt to gain unauthorized access to the Service, other workspaces, or our systems;
•
interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate access for any workspace found in violation of this policy, particularly where such use risks the Service’s standing with upstream channel providers (e.g., WhatsApp/Meta, telecom carriers, email providers).

6Subscription, Billing & Payment

6.1
Use of certain features or channels may require an active paid subscription or usage-based billing, as described in your workspace’s plan.
6.2
Fees are billed as set out at the time of purchase or as agreed with our team. Failure to pay may result in suspension of Service access.
6.3
[Placeholder, to be completed once billing/refund policy specifics are finalized: refund policy, billing cycle, currency, tax handling.]

7Suspension & Termination

7.1
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Service, other customers, or our channel-provider relationships.
7.2
You may request deactivation of your workspace at any time by contacting your assigned Customer Relationship Manager (CRM contact) or our support team.
7.3
Upon termination, we may retain your data for a limited period as required by law or as described in our Privacy Policy, after which it may be deleted.

8Intellectual Property

8.1
The communication platform and its underlying software, design, and branding are owned by us and are protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service itself.
8.2
You retain ownership of your Customer Data and any content you create within the Service (e.g., message templates, flows, configurations). You grant us a limited license to use, host, and process that content solely to provide the Service to you.

9Disclaimers & Limitation of Liability

9.1
The Service is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free operation, particularly where delivery depends on third-party channel providers (telecom carriers, WhatsApp/Meta, email infrastructure) outside our direct control.
9.2
To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service.
9.3
[Placeholder, liability cap and specific carve-outs to be finalized with legal counsel.]

10Changes to These Terms

We may update these Terms from time to time, on an approximately monthly review cycle, to reflect changes to the Service, legal requirements, or our practices.

When we make a material change, we will notify customers via a broadcast communication (email and/or in-app notice) describing what has changed, before or at the time the change takes effect. Continued use of the Service after such notice constitutes acceptance of the updated Terms.

A version history / changelog of prior updates will be made available [mechanism to be finalized].

11Governing Law & Contact

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Our parent company incorporation is currently underway; the jurisdiction and venue for disputes will be finalized and added to this section once that process is complete.

For questions about these Terms, contact your assigned Customer Relationship Manager (CRM contact).
